Terms of Service

These Terms of Service ("Terms") govern your use of Ardevio, an iOS mobile application operated by BM Martin Services, LLC, doing business as Ardevio ("we," "us," or "our"). By downloading or using Ardevio, you agree to these Terms. If you do not agree, do not use the app.

1. Description of Service

Ardevio is a personal portfolio tracking application that aggregates investment account data via Plaid Technologies, Inc. and provides analytical tools including asset allocation analysis, drift analysis, and portfolio exposure breakdowns.

Ardevio is a tool for informational and organizational purposes only. Ardevio does not provide investment, financial, tax, or legal advice, is not a financial advisor or tax professional, and nothing in the app is a recommendation to buy, sell, or hold any security. All analysis, scenarios, estimates, and projections displayed, including any modeling of potential sales, rebalancing, or tax impact, are hypothetical, are for informational purposes only, and should not be relied upon to make investment or tax decisions.

The figures in the app are estimates built from the information available to us, which may be incomplete, delayed, or inaccurate. For example, we may not have all of your tax lots, cost basis, wash-sale history, or holdings at other institutions, so trade and tax figures may be incomplete or wrong, and actual results may differ materially. You are solely responsible for your own investment and tax decisions. Always consult a qualified financial advisor or tax professional before making them.

2. Eligibility

You must be at least 18 years of age to use Ardevio. By using the app, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3. Account Registration

New accounts are created with Sign in with Apple. A small number of earlier accounts may sign in with an email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@ardevio.app if you suspect unauthorized access to your account.

4. License and Ownership

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use Ardevio on devices you own or control, for your personal, non-commercial use. Ardevio, including its software, design, and content, is owned by us and our licensors and is protected by intellectual property laws. We grant no rights except those stated here. You keep ownership of the financial data you connect or enter, and you give us permission to process it to provide the Services as described in our Privacy Policy.

5. Plaid Integration

Ardevio uses Plaid Technologies, Inc. to connect to your financial institutions. By connecting a financial account, you agree to Plaid's End User Privacy Policy (plaid.com/legal). We receive your financial account data — including balances, holdings, and transaction data — on your behalf and store it securely to provide the Services. You may disconnect any financial account at any time from within the app.

6. Free Trial, Subscription and Access

Free trial. Every new account receives a free trial of full access, currently 30 days from the day you create your account. No payment method is required for the trial, and you will not be charged at the end of it unless you choose to subscribe. We may change the length of the trial for new accounts.

Pro subscription. After the trial, continued access requires an auto-renewing Pro subscription. The price and billing period are shown in the app before you subscribe. Subscriptions are processed through Apple's In-App Purchase system and are subject to Apple's payment terms. Payment is charged to your Apple ID account when you confirm the purchase. Your subscription renews automatically unless you cancel at least 24 hours before the end of the current billing period, and your account will be charged for renewal within 24 hours before the end of that period. You can manage and cancel your subscription at any time in Settings > Apple ID > Subscriptions on your device; cancellation takes effect at the end of the current billing period. We do not issue refunds for partial subscription periods; refund requests must be submitted directly to Apple.

When access ends. If your trial or subscription ends without being renewed, your account is not deleted. For a short grace period afterward (currently 7 days), the accounts you have already linked keep updating, but you cannot link new accounts and some parts of the app are locked. When the grace period ends, your account is paused: we stop syncing your linked accounts, so the data in the app stops updating and becomes increasingly out of date. A paused account's data is kept until you delete your account, as described in our Privacy Policy. If you subscribe again or restore a previous purchase, access resumes and syncing starts again; the data may be out of date until the next sync completes.

Ardevio is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that:

Data displayed in the app depends on third-party providers including Plaid and financial institutions. We are not responsible for delays, inaccuracies, or unavailability of data caused by those providers.

9. Limitation of Liability

To the fullest extent permitted by applicable law, BM Martin Services, LLC, DBA Ardevio, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or investment losses, arising out of or relating to your use of the app or reliance on any information displayed in the app — even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising out of or relating to these Terms or your use of Ardevio shall not exceed the amount you paid us in the twelve months preceding the claim, or $10, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless BM Martin Services, LLC, DBA Ardevio, from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the app, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or the integrity of the Services. You may delete your account at any time from within the app. If your trial or subscription ends, your account is paused rather than terminated (see Section 6). Upon termination or deletion, all your data will be permanently deleted as described in our Privacy Policy.

12. Changes to the Service and These Terms

We may modify, add, suspend, or discontinue any feature of the app at any time, including features available during the free trial or in a Pro subscription. We may update these Terms from time to time. The updated version will be indicated by an updated "Last updated" date at the top. Continued use of the app after changes are posted constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

13. Apple-Specific Terms

If you download Ardevio from Apple's App Store, the following also apply. In this section, "Apple" means Apple Inc. and its subsidiaries.

(a) Acknowledgement. These Terms are between you and BM Martin Services, LLC, DBA Ardevio, and not Apple. We, not Apple, are solely responsible for the app and its content.

(b) Scope of license. The license granted to you is a limited, non-transferable license to use the app on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.

(c) Maintenance and support. We are solely responsible for providing any maintenance and support for the app. Apple has no obligation to furnish any maintenance or support. You can contact us at support@ardevio.app.

(d) Warranty. We are solely responsible for any product warranties. If the app fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) of the app to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty are our sole responsibility.

(e) Product claims. We, not Apple, are responsible for addressing any claims by you or any third party relating to the app or your possession or use of it, including product liability claims; claims that the app fails to conform to any applicable legal or regulatory requirement; and claims arising under consumer protection, privacy, or similar laws.

(f) Intellectual property. If a third party claims that the app or your possession and use of it infringes that party's intellectual property rights, we, not Apple, are solely responsible for the investigation, defense, settlement, and discharge of the claim.

(g) Legal compliance. You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

(h) Developer contact. Questions, complaints, or claims about the app may be directed to: BM Martin Services, LLC, DBA Ardevio, by email at support@ardevio.app.

(i) Third-party terms. You must comply with any applicable third-party terms of agreement when using the app, such as your wireless data service agreement.

(j) Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

14. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania and, where applicable, United States federal law, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the app shall be brought in the state or federal courts located in the Commonwealth of Pennsylvania, and you consent to the jurisdiction of those courts.

15. General

These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the app and replace any earlier agreement. If any provision of these Terms is held unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Provisions that by their nature should continue after termination will do so.
